Terms of Service

1. Scope

1.1 New XP Technologies Limited is a company registered under the laws of Hong Kong, with its principal place of business at Suite C, Level 7, World Trust Tower, 50 Stanley Street, Central, Hong Kong ("New XP Technologies Limited" or "we").

1.2 New XP Technologies Limited owns and operates the software platform known as "VoiceAIWrapper" that enables customers ("Users") to deploy AI voice agents for automating customer interactions and communications.

1.3 These Terms of Use ("Terms") govern your access to and use of the VoiceAIWrapper platform and services.

1.4 New XP Technologies Limited provides services exclusively to business users and entrepreneurs.

2. Service Description

2.1 VoiceAIWrapper is provided as a Software-as-a-Service (SaaS) solution, operated by New XP Technologies Limited in a managed cloud environment and accessed via our website.

2.2 To access VoiceAIWrapper, you must create an account by registering with your email address and choosing a password. By registering, you agree to these Terms.

2.3 We offer different subscription plans that may include: Direct Use: Software provided for your own business use Reselling: Software provided for reselling to your customers under the VoiceAIWrapper brand White Labeling: Software provided for reselling under your own brand and customized appearance

3. White Label Services

3.1 Where your subscription includes white labeling, we grant you a non-exclusive, non-transferable right to use VoiceAIWrapper for reselling to your customers under your own branding.

3.2 You may customize the appearance and branding of the platform as specified in your subscription plan.

3.3 You are responsible for all customer agreements and support for your white-label customers.

3.4 You are free to set your own pricing for white-label services to your customers.

3.5 White labeling rights are non-exclusive - we may provide similar services to other customers, including your competitors.

4. User Obligations

4.1 You are responsible for maintaining the security of your account credentials and all activities under your account.

4.2 You must not: Use the service for any unlawful purpose or in violation of applicable lawsAttempt to gain unauthorized access to our systems or networks Use the service to transmit malicious code or harmful contentReverse engineer, modify, or create derivative works of the softwareUse the service in a way that circumvents usage limits or restrictions

4.3 You are solely responsible for any complaints or claims arising from your use of the service, including spam call complaints.

4.4 You must comply with all applicable telecommunications and privacy laws in your jurisdiction.

5. Payment Terms

5.1 Subscription fees are payable in advance according to your chosen billing cycle (monthly or annually).

5.2 We accept various payment methods including credit cards and bank transfers for qualified amounts.

5.3 If payment fails, we may suspend your access to the service after reasonable notice.

5.4 All fees are exclusive of taxes, which are your responsibility.

5.5 We may increase subscription fees with reasonable advance notice.

5.6 Refunds are provided only as required by applicable law or as specified in your subscription agreement.

6. Intellectual Property

6.1 New XP Technologies Limited retains all rights, title, and interest in VoiceAIWrapper, including all intellectual property rights.

6.2 You own the content and data you input into the service, but grant us the right to use it as necessary to provide the service.

6.3 Any feedback or suggestions you provide about the service may be used by us without restriction or compensation.

6.4 Your license to use the service is limited to the rights expressly granted in these Terms.

7. Warranties and Disclaimers

7.1 We warrant that VoiceAIWrapper will perform substantially in accordance with its specifications during your subscription term.

7.2 We aim to maintain 99.9% uptime but cannot guarantee uninterrupted service due to factors beyond our control.

7.3 Except as expressly stated, the service is provided "as is" without warranties of any kind.

7.4 We disclaim all implied warranties including merchantability and fitness for a particular purpose to the maximum extent permitted by law.

8. Limitation of Liability

8.1 Our total liability to you shall not exceed the amount paid by you for the service in the 12 months preceding the claim.

8.2 We shall not be liable for indirect, incidental, special, or consequential damages including loss of profits or data.

8.3 Nothing in these Terms limits our liability for death, personal injury, fraud, or other liability that cannot be excluded by law.

9. Data Protection

9.1 We process personal data in accordance with our Privacy Policy and applicable data protection laws.

9.2 You are responsible for ensuring you have appropriate consent and legal basis for any personal data you process through the service.

9.3 We implement appropriate technical and organizational measures to protect your data.

10. Termination

10.1 Either party may terminate the agreement with appropriate notice as specified in your subscription terms.

10.2 We may suspend or terminate your access immediately for material breach of these Terms.

10.3 Upon termination, you must cease all use of the service and we may delete your data after a reasonable period.

10.4 Provisions regarding intellectual property, liability, and governing law survive termination.

11. General Provisions

11.1 These Terms are governed by and construed in accordance with the laws of Hong Kong.

11.2 Any disputes shall be subject to the exclusive jurisdiction of the Hong Kong courts.

11.3 We may update these Terms from time to time with reasonable notice.

11.4 If any provision is found unenforceable, the remainder of these Terms remains in effect.

11.5 These Terms constitute the entire agreement between us regarding the service.
